Arkansas Adult Education Advisory Council
BY-LAWS

I. NAME
The name of the organization shall be the Arkansas Adult Education Advisory Council.
II. MISSION
The mission of the Arkansas Adult Education Advisory Council is to identify issues and needs of Adult Education and Literacy and to make recommendations to the Department of Workforce Education, Adult Education Section.
III. MEMBERSHIP

The Council shall consist of thirteen (13) at-large members representing Adult Education and Literacy Councils.
- Ten (10) members representing Adult Education shall be nominated based on the geographical regions by the Arkansas Association for Continuing and Adult Education (AACAE) Executive Committee and recommended for appointment by the Deputy Director of Adult Education.
- Three (3) members representing Literacy Councils shall be selected by the Arkansas Literacy Council, Inc. (ALC) Advisory Committee and recommended for appointment by the Deputy Director of Adult Education.

The following members shall be permanent members of the Arkansas Adult Education
Advisory Council with voting rights.
- The Director of the Adult Learning Resource Center (AALRC).
- The President of the Arkansas Association of Continuing and Adult Education (AACAE).
- The President of the Arkansas Association of Administrators of Adult Education (AAAAE).
- The Chairperson of the Workforce Alliance for Growth in the Economy (WAGE).

Term of Members
Advisory Council members shall be appointed for a term of three years. Advisory Council members are eligible for one consecutive reappointment following the expiration of his/her term. Vacancies due to resignation shall be filled for the remainder of the term vacated.
IV. OFFICERS
The officers of the Council shall be elected from the thirteen at-large members. The elected officers of the Council shall be: Chairperson, Vice-Chairperson, and Secretary.
- The Council shall elect all officers annually during the last Bimonthly meeting of each year.
- The new officers shall take office at the close of the last bimonthly meeting of each year.
- The Chairperson shall preside over the general meetings of the Council. The Chairperson shall have the power to call special meetings of the Council, as necessary, to conduct the business of the Council.
- The Vice-Chairperson shall preside at the meetings in the absence or request of the Chairperson. The Vice-Chairperson shall work closely with the Chairperson and shall assist the Chairperson with all activities of the Council.
- The Secretary shall keep an accurate record of all process record of all proceedings of the Council.
V. MEETINGS
- The Arkansas Adult Education Advisory Council shall hold regular bimonthly meetings on the fourth Thursday and Friday of the month beginning in January of each year except when the dates falls on a holiday. The Chairperson will reschedule meetings that fall on a holiday.
- Special meetings may be called by the Chairperson, as necessary, to conduct the business of the Council.
- A quorum consisting of at least 50% of the voting membership shall be required to conduct business.
- Meetings shall be conducted using Robert’s Rules of Order, as revised.
- Council members who miss three consecutive meetings without a valid excuse may be replaced or asked to resign.
VI. OTHER
These by-laws may be revised by a vote of two-thirds of the voting membership.
